Audit Committee Quarterly: Communication with shareholders – reform of the law on the defect of resolutions overdue
A successful Annual General Meeting (AGM) is characterised by an open exchange between shareholder representatives and the company. However, the formalism of German AGMs, caused by the law on the defect of resolutions, makes this more difficult, according to our Chief Executive Henriette Peucker and our Head of Stock Corporation Law, Sven Erwin Hemeling, in their article for the Audit Committee Quarterly. They see a need for reform in the areas of resolution deficiency law, the right to submit motions and the advance submission of questions.
