BOARD: Reform of the Annual General Meeting

In a guest article for BOARD – Journal for Supervisory Boards in Germany, our Chief Executive and Member of the Board Henriette Peucker and Dr Sabrina Kulenkamp, partner at Freshfields Bruckhaus Deringer, explain recommendations for action to reform the Annual General Meeting. Due to the strict law on defects in resolutions, reading out legally verified answers predominates at Annual General Meetings in Germany. There is little room for a lively debate. The proposals include reform of the law on defects in resolutions, the advance submission of questions and the earlier publication of shareholder motions.
