Evolution of the virtual Annual General Meeting in Germany
The concept of the virtual annual general meeting (AGM), revised in 2022, is modeled on the physical AGM. It offers shareholders easier participation and shareholder rights are guaranteed by law.
Voting rights advisor ISS has now proposed an amendment to its voting recommendations in light of the AGM. Among other things, these stipulate that companies should only be able to convene virtual general meetings if circumstances arise that make it necessary to restrict physical attendance.
We take a critical view of this and have suggested in our statement on the voting recommendations of ISS that this change should not be implemented. Companies should be free to choose between in-person and virtual general meetings..
