    Notwendige Anpassungen im ZuFinG bei den Kryptowertpapieren

     

    Im Rahmen des Zukunftsfinanzierungsgesetzes werden die Regelungen zu elektronischen Wertpapieren mit dem Ziel angepasst, die Emission elektronischer Wertpapiere zu erleichtern. Kontraproduktiv ist eine Regelung zur Haftung des Emittenten bei der Wahl des Registerführers. Unklar ist, ob der Emittent den gesetzlichen Sorgfaltsmaßstäben bezüglich einer Haftung entspricht, wenn er einen von der BaFin beaufsichtigten Registerführer wählt. Dies muss ausreichen, da weitere Anforderungen den Emittenten überfordern und damit die Emission elektronischer Wertpapiere unattraktiv machen würde.
